Terms of Service

1. Acceptance of Terms

By accessing or using Acrewity ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

Please read these Terms carefully. By placing an order with us, you agree to both these Terms and the payment processing terms of our payment processor, Paddle.

2. Description of Service

Acrewity provides API services and microservices for developers, automation workflows, and modern applications. The Service is provided on an "as-is" and "as-available" basis.

3. Payment Processing and Merchant of Record

Paddle as Merchant of Record: Payments for the Service are processed by Paddle, which acts as the Merchant of Record. Depending on your location:

  • United States: Paddle.com Inc., 3811 Ditmars Blvd, 1071, Astoria, NY 11105-1803, USA
  • Rest of World: Paddle.com Market Ltd., Judd House, 18-29 Mora Street, London, EC1V 8BT, United Kingdom

This means that when you purchase credits or subscriptions, you are purchasing from Paddle as the authorized reseller, but the Service is provided and licensed to you by Acrewity. Paddle handles all payment processing, billing, refunds, and tax collection on our behalf.

Your payment transaction is also governed by Paddle's Checkout Buyer Terms and Conditions, available at paddle.com/legal/checkout-buyer-terms.

4. NO LIABILITY AND DISCLAIMER OF WARRANTIES

IMPORTANT: READ THIS SECTION CAREFULLY

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. ACREWITY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF THE SERVICE

ACREWITY SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER, including but not limited to:

  • Loss of service or downtime
  • Loss of credits or account balance
  • Data loss or corruption
  • Business interruption
  • Lost profits or revenue
  • Consequential, incidental, indirect, or punitive damages
  • Any damages arising from use or inability to use the service

YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

5. Service Availability

We make no guarantees regarding service uptime, availability, or performance. The Service may be interrupted, suspended, or terminated at any time without notice. We are not responsible for any losses resulting from service interruptions.

6. Credits, Billing, and Payments

Credits are virtual tokens used to access our services. We reserve the right to:

  • Modify credit pricing or consumption rates at any time
  • Revoke or expire credits without compensation
  • Change billing terms without prior notice
  • Suspend or terminate accounts for any reason

Payments and Taxes

Paddle will charge your chosen payment method (such as credit card, debit card, PayPal, or other available methods) for any paid transactions, including any applicable sales taxes, VAT, GST, or other indirect taxes according to the tax jurisdiction in which the transaction takes place.

You agree to receipt of all invoices and receipts in electronic format, which includes email. Product prices may change at any time.

Refund Policy

Refunds are provided at the sole discretion of Paddle and Acrewity on a case-by-case basis. Refunds may be refused if we find evidence of fraud, refund abuse, or other manipulative behavior.

This does not affect Consumer rights in relation to services which are not as described, faulty, or not fit for purpose.

Chargebacks

You agree to contact us before raising a chargeback request or any dispute with your bank or card issuer in relation to any transaction. If you make a card payment and later dispute a legitimate charge by raising a chargeback without merit or legitimate reason, we reserve the right to prohibit you from using our Services.

7. Consumer Right to Cancel (EU/UK Customers)

If you are a consumer located in the European Union or United Kingdom, unless the exception below applies, you have the right to cancel this agreement and return the purchase within 14 days without giving any reason. The cancellation period will expire after 14 days from the day after completion of the transaction.

To cancel your order, you must inform us of your decision. You can do so by contacting our support team through the contact form in the footer of our website.

Exception to Right to Cancel

Important: Your right as a Consumer to cancel your order does not apply to digital services that you have started to use or credits that you have already consumed. By purchasing and using our Service, you acknowledge that you lose your right of withdrawal once you have started accessing the Service or consuming credits.

Effect of Cancellation

If you cancel this agreement within the 14-day period and have not yet used the Service, we will reimburse to you all payments received from you without undue delay, and not later than 14 days after the day we are informed about your decision to cancel. We will make the reimbursement using the same means of payment as you used for the initial transaction, and you will not incur any fees as a result of the reimbursement.

8. Subscriptions

The Service may allow you to purchase access on a subscription basis. Paid subscriptions automatically renew until cancelled. We'll notify you if the price of a subscription increases and, if required, seek your consent to continue.

You'll be charged on the day the subscription period renews. If you wish to cancel your subscription, please contact us at least 48 hours before the end of the current billing period. Your cancellation will take effect at the next payment date. There are no refunds on unused subscription periods.

If we cannot charge your payment method for any reason (such as expiration or insufficient funds), and you have not cancelled your subscription, you remain responsible for any uncollected amounts. We reserve the right to cancel your subscription if we are unable to successfully charge your payment method.

9. User Conduct

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Abuse, harass, or harm other users
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service to transmit malicious code or spam

10. Rate Limiting and Fair Usage

To ensure service stability and prevent abuse, we implement rate limiting on API requests:

  • Maximum 1,000 requests per minute per account/API key
  • This limit applies regardless of your subscription plan or credit balance
  • Exceeding this limit will result in temporary request rejection (HTTP 429 errors)
  • Rate limits are for abuse prevention only - normal usage should never hit these limits

Note: Your actual API usage is primarily limited by your credit balance. Each API call consumes credits based on the service used. Rate limiting exists solely to prevent system abuse and ensure fair access for all users.

Service-Specific Limits

In addition to rate limiting, we implement per-request limits to protect system resources:

  • File uploads: 50MB maximum per file
  • Text content: 1MB maximum per request
  • URL length: 2,048 characters maximum
  • UUID generation: 100 UUIDs maximum per request
  • Email recipients: 10 recipients maximum per email
  • Batch operations: 100 items maximum (QR codes, hashing, etc.)

These limits are designed to prevent abuse while accommodating legitimate use cases. Requests exceeding these limits will be rejected with appropriate error messages.

11. Intellectual Property

The Service and its original content, features, and functionality are owned by Acrewity and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ACREWITY BE LIABLE FOR ANY DAMAGES EXCEEDING THE AMOUNT YOU PAID TO ACREWITY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

This limitation applies regardless of the theory of liability, whether based on warranty, contract, statute, tort, or otherwise.

14. Indemnification

You agree to defend, indemnify, and hold harmless Acrewity and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Service.

15. Infrastructure and Third-Party Services

Our Service is hosted on Google Cloud Platform infrastructure. Your data is processed and stored within Google's secure data centers. For information about Google's security practices, visit cloud.google.com/security.

We use the following third-party services:

  • Supabase: For authentication and database services
  • Paddle: For payment processing (as Merchant of Record)

We are not responsible for any third-party content, services, or any damages or losses caused by or in connection with use of such third-party services.

16. Data and Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

Payment processing and billing data is handled by Paddle in accordance with their Privacy Policy, available at paddle.com/legal/privacy. Paddle maintains appropriate administrative, physical, and technical safeguards for protection of the security, confidentiality, and integrity of your payment data.

17. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Continued use of the Service after any such changes constitutes your consent to such changes.

18. Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which Acrewity operates, without regard to its conflict of law provisions.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
